FatherStock  has been the largest and most trusted data solution provider for dropship resellers since early 2015, and we are pleased you have decided to join our value-adding network by creating your account(and we mean it) account. Our terms are standard practice for most online service providers. We have tried to make them as short and simple to understand, but if you have ANY questions about them, just let us know at dsupport@fatherstock.com. In short:

This user agreement specifies the terms and conditions under which FatherStock agrees to provide you with access to inventory information (“the Information”). If you want to access FatherStock to centralize access to online inventory and use the automated inventory updating or use the other services we provide (collectively, “Services”) you must accept this user agreement (“Agreement”) in its entirety, including all of its terms and conditions.

We may amend this Agreement at any time by posting the amended terms and conditions on the FatherStock website. Unless otherwise indicated, all amended terms shall automatically be effective seven (7) days after they are initially posted, and your continued use of our Services indicates your acceptance of the amended terms. You are responsible for reviewing and becoming familiar with any changes.

FatherStock, in its sole discretion, may add, delete, or modify some or all of the features of the Information or Services at any time.

1.     Eligibility; Registration.

1.1 Use of the Services is limited to parties that lawfully can enter into and form contracts under applicable law. Without limiting the foregoing, the Services are not available to minors. Further, the Services are not available to parties whose use of the Services has been suspended or terminated.

1.2 To use the Services, you must submit a complete registration form on behalf of yourself or the corporation, partnership or other legal entity that will be using the Services. By accepting this Agreement, you represent that (a) you are eighteen (18) or older and, if applicable, (b) you are authorized to sign for and bind the corporation, partnership or other legal entity that will be using the Services. You shall provide current, complete and accurate registration information (including email address and credit card information), and then update the information as required to keep the registration information current, complete and accurate.

1.3 As a subscription service, FatherStock will collect payment information from you during the account setup. By providing such payment methods to FatherStock, you are explicitly authorizing FatherStock to charge one or more of these methods as fees are due.

 

2.     Fees and Payment Terms.

 

2.1 The fees are set forth in the Fee Schedule and Payment Terms  the current cost will also show before you confirm the addition. Changes to fees and payment terms are effective immediately unless otherwise indicated, and it is your responsibility to check for any changes, but we will also update the changes on our site and alert our member network of the change by sending you a notice to your email ID on file. You agree to pay us for using our services in accordance with our then current Fee Schedule. All fees are payable in U.S. Dollars

or Saudi Riyal and will not be treated as paid until actually received by FatherStock in same-day and freely available funds. Failure to pay any amounts when due may, in FatherStock sole discretion, result in your account being suspended or terminated.

2.2 all payments its final , we dont accepts payments refund, all our services paid a head of time.

3.     User Conduct.

 

3.1 You agree to comply with all applicable laws, statutes, ordinances and regulations related to use of the Services. You may not use our Services to engage in fraud or other illegal activity, or to infringe the intellectual property rights of others.

3.2 You agree to comply with the terms and conditions of all agreements you have with third parties, including providers of drop ship Inventory, as such terms and conditions relate to use of the Services including, without limitation, terms and conditions related to types of items that may be sold or restrictions on concurrent sales.

3.3 You agree that you will not use any device, software or routine to interfere or attempt to interfere with the proper working of the Site or any transaction conducted on the Site. You agree that you will not take any action that imposes an unreasonable or disproportionately large load on our infrastructure or limits our ability to provide the Services. You agree that you will not collect, copy, reproduce, alter, modify, create derivative works, or publicly display any content or information (except for Your Materials) from the Site without the prior expressed written permission of FatherStock or the appropriate third party. You agree that you will not use any robot, spider, or other automatic device or routine to access or interface with the Site.

4.    FatherStock and Third-Party Intellectual Property.

 

4.1 All content included or available on the Site, such as advertisements, text, graphics, logos, button icons, images, audio clips and software, is the property of FatherStock / matarmart and/or third parties and is protected by copyrights, trademarks or other intellectual and proprietary rights. The compilation (meaning the collection, arrangement and assembly) of all content on the Site is the exclusive property of FatherStock/matarmart and/or its licensors, suppliers and distributors and is protected by copyrights or other intellectual and proprietary rights. All software used on the Site is the property of FatherStock and/or its software suppliers or distributors and is protected by copyrights, patents or other intellectual and proprietary rights.

4.2 Subject to the terms and conditions of this Agreement, FatherStock grants a limited license to you to make personal use of the Site and the Services only for their intended purposes. This license expressly excludes any resale of the Site and the Services, making any derivative of the Site or the Services, the collection and use of other users’ email addresses or other materials (for example, advertisements), or any data extraction or data mining whatsoever, except with the express consent of the owner of such materials.

4.3 FatherStock retains all right, title, and interest in and to its trademarks, service marks and trade names worldwide (collectively, the “Marks”). You shall only use FatherStock Marks with the express permission of FatherStock and then only in the manner authorized. Under no circumstances may you alter, modify, or change FatherStock Marks.

4.4 You agree that for any incapacity or suspension of matarmart third-party or other suppliers of their services, FatherStock cannot compensate you or return the money to you. FatherStock middleware software company provides integration service only, after which contracts will be terminated.

5.     Suspension and Termination.

 

Without limiting other remedies, we may immediately issue a warning, temporarily suspend, indefinitely suspend, or terminate your access to the Site and Services if you breach any of the terms of this Agreement or if you take any actions that, in our sole judgment, may cause legal liability for or claims against you, our users, or us. In the event FatherStock suspends or terminates your access to the Site or Services, you acknowledge that you may be denied any further access to the Site.

6.     Privacy.

 

FatherStock is committed to protecting your privacy and we will only use and disclose your information in accordance with our then current Privacy Policy which is incorporated herein by reference.

7.     Warranty Disclaimer.

 

THE SITE AND THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. FatherStock AND OUR SUPPLIERS OR DISTRIBUTORS MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY. FATHERSTOCK AND OUR SUPPLIERS OR DISTRIBUTORS SPECIFICALLY DISCLAIM ALL WARRANTIES INCLUDING WITHOUT LIMITATION:

(A) THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;

(B) THAT THE SITE OR THE SERVICES WILL MEET YOUR REQUIREMENTS, WILL ALWAYS BE AVAILABLE, ACCESSIBLE, UNINTERRUPTED, TIMELY, SECURE OR OPERATE WITHOUT ERROR;

(C) ANY IMPLIED WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE; AND

(D) ANY OBLIGATION, LIABILITY, RIGHT, CLAIM OR REMEDY IN TORT, WHETHER OR NOT ARISING FROM THE NEGLIGENCE OF FatherStock OR OUR SUPPLIERS OR DISTRIBUTORS.

Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not fully apply to you. You may also have other legal rights which vary from state to state.

8.     General Release.

 

8.1 BECAUSE FATHERSTOCK AND OUR SUPPLIERS OR DISTRIBUTORS ARE NOT INVOLVED IN DEALINGS BETWEEN OUR USERS OR BETWEEN OUR USERS AND MARKETPLACE USERS, IF A DISPUTE ARISES BETWEEN YOU AND ANOTHER PARTY, YOU RELEASE FATHERSTOCK (AND ITS AGENTS AND EMPLOYEES, SUPPLIERS AND DISTRIBUTORS) FROM CLAIMS, DEMANDS AND DAMAGES (ACTUAL AND CONSEQUENTIAL) OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED AND UNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH SUCH DISPUTES. FURTHER, YOU WAIVE ANY RIGHTS YOU MAY HAVE .

8.2 YOU ACKNOWLEDGE AND AGREE THAT FatherStock IS NOT RESPONSIBLE FOR THE AVAILABILITY OF SUPPLIERS, AND DOES NOT ENDORSE AND IS NOT RESPONSIBLE OR LIABLE FOR ANY SERVICES, CONTENT, ADVERTISING, PRODUCTS OR OTHER MATERIALS ON OR AVAILABLE FROM SUCH SUPPLIERS. YOU AGREE THAT FatherStock SHALL NOT BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY DAMAGE OR LOSS CAUSED OR ALLEGED TO BE CAUSED BY OR IN CONNECTION WITH THE USE OF OR RELIANCE ON ANY SUCH SERVICES, CONTENT, ADVERTISING, PRODUCTS OR OTHER MATERIALS.

8.3 YOU ACKNOWLEDGE AND AGREE THAT FatherStock DOES NOT CONTROL AND IS NOT RESPONSIBLE FOR INFORMATION PROVIDED BY OTHER USERS WHICH IS MADE AVAILABLE ON THE SITE. YOU MAY FIND OTHER USER’S INFORMATION TO BE OFFENSIVE, HARMFUL, INACCURATE OR DECEPTIVE. YOU AGREE THAT FATHERSTOCK SHALL NOT BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY DAMAGE OR LOSS CAUSED OR ALLEGED TO BE CAUSED BY OR IN CONNECTION WITH THE USE OF OR RELIANCE ON ANY SUCH INFORMATION.

9.     Limitation of Liability.

 

UNDER NO CIRCUMSTANCES WILL FatherStock OR OUR SUPPLIERS AND/OR DISTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF DATA, CONTENT, FILES, PROFIT OR GOODWILL, OR THE COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES), ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THE SITE, THE SERVICES, THE INABILITY TO USE THE SERVICES OR THOSE RESULTING FROM ANY GOODS OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH THE SERVICES.

10.Indemnity.

 

You hereby agree to, at your own expense, indemnity, defend and hold FatherStock and our subsidiaries, affiliates, officers, directors, agents, and employees harmless from and against any loss, cost, damages, liability, or expense arising out of or relating to (a) a third-party claim, action or allegation of infringement, misuse or misappropriation based on information, data, files or other content on the Site; (b) any fraud, manipulation, or other breach of this Agreement by you; (c) any third-party claim, action or allegation brought against FatherStock arising out of or relating to a dispute with you over the terms and conditions of an agreement or related to the purchase or sale of any goods or services; (d) your violation of any law or the rights of a third party; or (e) your use, or FatherStock provision, of the Services or use of your account by any third party. FatherStock will have the right to participate in its defense and hire counsel of its choice, at your expense. You will not settle any action or claims on FatherStock behalf without the prior written consent of FatherStock.

11.Notices.

 

all Notices will be via official emails between parties , you agree that the email in registration information its legal email .

12.Termination.

 

Notwithstanding the above notice requirements, you may terminate this agreement at any time by notifying the stock source via email at Dsupport@fatherstock.com. If you are registered for any paid services, this will be your last bill from the FatherStock. FatherStock may, in its sole discretion, terminate this agreement or suspend or terminate your access to the website or services immediately without notice for any reason, including, but not limited to, your infringement of the intellectual property rights of others. All provisions of this Agreement that remain in effect by their nature shall remain in effect, including, but not limited to, provisions relating to intellectual property, disclaimers of warranty, general matters, limits of liability, compensation and general provisions.

13.General.

 

This Agreement is not assignable, transferable or sublicensable by you without FatherStock prior written consent, and any such conveyance shall be null and void. FatherStock may assign this Agreement in whole or in part. This Agreement shall be governed by and construed in accordance with the laws of the Saudia Arabia without regard to conflicts of laws provisions thereof. The sole jurisdiction and venue for actions related to the subject matter hereof shall be the Ar-Ryadh   courts having within their jurisdiction the location of FatherStock  principal place of business. In any action or proceeding to enforce rights under this Agreement, the prevailing party will be entitled to recover costs and attorneys’ fees. If any provision of this Agreement is held by a court of competent jurisdiction to be illegal, invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. This Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof. You agree and acknowledge that you are not entering into this agreement in reliance on any statements or representations other than those set forth herein. Should any term or condition be in conflict between this Agreement and any document incorporated by reference into this Agreement, the terms of this Agreement shall control.

Hybrid Dropshipping

Fatherstock offers subscribers a hybrid dropshipping service to enable them to develop their business professionally, which is the purchase, shipping, transportation, and storage of the merchant’s products in the country of sale and delivery to his customers for a fee for all executed operations.

According to the following conditions:

1- The request to join the service (hybrid dropshipping) is submitted for free by submitting a ticket to the technical support and attaching your account information with fatherstock, and it will be activated directly according to your credit history with Fathersstock.

2- The merchant raises a request for a “Ticket” for Hybrid Dropshipping Products and specifies the quantity and products, and then the team will issue a purchase order containing the product prices, taxes, shipping price, and additional fees.

3- The merchant reviews the price offer, then he will pay the full amount of invoices to Fetherstock in advance, and after payment, the merchant has no right to cancel the purchase.

4- Prices for Hybrid Drop Shipping services are determined according to the following table:

Shipping & Delivery

Father Stock offers distributors the following shipping options, which may vary by item:

Regular shipping of products available inside Saudi Arabia: It is expected that the products will be delivered to you within 5-7 working days, which is the normal method in Fatherstock for delivery, and the internal shipping prices range from 24 riyals to 38 riyals.

Regular shipping of products available in international warehouses: It is expected that the products will be delivered to you within 15-20 days from the date of delivery of the items to the shipping company only for the products available outside the Kingdom of Saudi Arabia, which are usually around the world in the warehouses of Father Stock, and this is the usual method without any additional fees or Terms.

2-Day Shipping: Depending on the source of the item and the shipping destination, 2-day shipping may be available in select regions. Your items are expected to be delivered within 2 business days after the items have been shipped.

Fast Shipping for Certain Items: Your items are expected to be delivered within 1 business day after the items are shipped and received by the delivery company only for certain products.

Standard express shipping for products available in global warehouses: Father Stock also provides fast and standard shipping service for products outside the Kingdom of Saudi Arabia at its warehouses around the world (United States - Korea - Hong Kong - Europe) within 7-10 days after shipping companies deliver your items . (Fee included).

Cash on Delivery: Fatherstock provides payment services on the receipt provided that the product is in its warehouses and the method of the merchant’s work is in the hybrid dropshipping system. If the final customer does not receive the shipment, delivery fees will be charged to the merchant and product storage fees according to the terms of the Hybrid Dropshipping system described in the agreement.

Business days do not usually include weekends, but deliveries on Saturdays may take place in specific ZIP codes.

Some items may not qualify for 2-day or express shipping due to size, weight, quantities, delivery address, or seller's limitations.

Shipping charges for express shipping are calculated on a "per order" basis, including shipping costs, order processing, item selection, and packaging, and will only be applied to items that use these shipping speeds.

There will be a fixed shipping fee of 49 SAR for the normal shipment of any shipment less than 500 SAR or max 2.kg.

1- If purchases are higher than 500 riyals, there will be shipping and delivery fees of another 30 riyals added to the total invoice depending on products and max weight for this case is 3kg and this is considered a normal shipping fee (you will find above the delivery period for normal shipping)

2- if purchases are higher than 2kg or amount 500 Riyals will be another delivery fee calculated depending on products and shipping company, invoice for extra fee will be send automatically to dropshipper after shipping cost confirmations from the shipping company.

And for fast shipping by using the fast track for international and domestic shipments, there will be an additional charge of 40 riyals on the shipment (you will find above the delivery time for express shipping).

Note: Father Stock reserves the full right to correspond with the customer and change the delivery dates in the event of an emergency or force majeure, God forbid.

Feather Stock uses its own fleet of international and domestic products to ship or through major shipping companies such as (DHL, FedEx, Aramex, SMSA, FatherStock Air Ship)

When the customer receives the consignment number of any shipping company and this resulted in a delay in shipping, the customer has the right to enter the shipping company’s website and verify its shipment and contact the shipping company.

What if my customer receives a missing or wrong shipment?

We will offer you an apology first, and you have the full right. You will submit a ticket via the link https://fatherstock.com/ (help ticket) by writing what happened with you. Photos must be added with the request, and we will study the request within 48 hours and take the appropriate action, which is to exchange products on the Father stock account And receiving the products you also have on the Father Stock account, we will serve you as required. We only want you to raise the assistance ticket, and Fother Stock has full entitlement in the event that the assistance ticket is proven to be inconsistent with the conditions by rejecting the request and closing the ticket.

And if it is defective or damaged?

Items damaged due to shipping

If the items are visibly damaged upon receipt, we request that you support us by accepting the package and contacting us within 12 hours of receiving the order, as well as providing us with evidence as follows:

1. Pictures of the front and back sides of the packing box

2. Image, video, screenshot of the defective item

3. Image, video, screen shot of the defective or the defective area

Our sales manager will contact you for more information.

What if the order is not shipped or canceled ?

Within one day of the order, please note that the shipping fee returns one item of the order, and it will be, the customer, to raise the claim to technical support, the first in the event that the order is canceled or not shipped.

What if my customer does not receive the paid shipment?

You will be notified of this by us and give you a period to communicate with the customer (the time limit is determined according to the policies of the shipping company), and then if a new receipt address is updated, we will update it with the shipping company, and if a new receipt address is not updated by you or no response, the shipment will be returned to the source country with imposing Recharging fee

And if you want to receive the shipment again, you will have to pay the full shipping fees.

Terms and Agreement of the Electronic Distributor Plus service

an introduction

1- Creating, developing and programming the site through OpenCart or WooCommerce platforms, and this is what we prefer due to the strength of the two platforms in e-commerce programmatically.

2- We create databases and raw files for the site (if the site is new) and inform the customer of all the data and keep a copy of the information with us.

3- Special designs and templates are subject to modifications by us according to the client's requests. The customer chooses his own design and then provides us with the logo and color information, and the amendment is made according to the customer’s directions, provided that the modification does not require a new software code.

First: Scope reservation and implementation

We reserve your domain according to the client's provision to us or send suggestions to the client regarding the available domains according to the client's project.

ü We reserve the domains through well-known service providers and our partners so that the customer's domain is always safe.

ü If the customer has a previous domain, we transfer his data to the new site for free.

ü Second: Design

ü Modern modern design that matches the colors of the company identity and logo.

ü Explains store services in a distinctive way.

ü Store design Arabic - English.

ü Supports two currencies (US Dollar - Saudi Riyal).

ü Any currency for the customer is added according to the country he desires.

ü Design is compatible and supports mobile interface.

Third: programming and implementation

ü We install the store on the customer’s space, create private databases and send their information to the customer.

ü The packages are determined according to the customer's request and depend on the special speeds of the servers and others, starting from 50 GB until the private hosting.

ü We fully localize the store or add any international language to all parts of the store

Fourth: Additions and Features

ü Installing customer payment gateways to be ready to link

ü Installation of shipping systems and ready to connect according to the company

ü The possibility of shipping by weight or region

ü Install chat online in the store for free (and take advantage of the service of technical support staff for your store, according to the packages of the company providing the service).

ü Ability to activate special offers and discount coupons.

ü Email accounts to the store.

ü Search engine support

ü Server supported and fully protected

Fifth: Protection and technical support

ü Installing the SSL security protocol to raise the level of security for the site.

ü Hide store management from users.

ü Protect your databases from being hacked.

ü Technical support is available throughout the subscription period by e-mail throughout the week from 9 am to 6 pm.

ü Technical support shall be responsible for any errors that appear on the site at the main interface, provided that the error is due to poor programming or an update with a specific template, and the repair is free of charge.

ü If the error or the support requested by the client is due to the client deleting any files or tampering with them, we will provide the support service with fixed fees to fix any problem that the customer has made due to tampering or sabotage of the basic files and the support fee starts from 10 dollars.

ü In the event of a specific error or technical support, the customer sends a support email or opens a ticket and writes the problem with a clear picture of the details, and we will respond and solve the problem immediately.

ü Technical support does not include the substantial development of the store or a complete change of design or programming.

ü We withdraw backup copies to the store on a monthly basis, but the customer is primarily responsible for backups and the customer is responsible for data and other information, the backups that we provide are general copies of all data without knowing their content, and this is a service we provide to the customer to keep files, but the customer must take backup copies and keep them with him God forbid, in the event of losing any information that he can refer to, and the copy available to us will be monthly, that is, if the client requests it, we will provide him with the last copy within a month.

Sixth: Implementation

ü The customer chooses and pays the package value.

ü Customer defines their own design and scope as well.

ü We start implementation after receiving the client's requests (design + scope).

ü Execution period of 14 days from the date of receiving the client's requests.

ü The customer receives the store and makes sure of complete data.

Seventh: General

We are obligated to maintain the confidentiality of the information and data obtained from the client by virtue of this contract, and this information should not be used for purposes other than those designated for it, provided that the circulation of this information between the employees of the two parties does not exceed the requirements of the work need.

The customer is fully responsible for entering his information and data on the site.

·      Customer responsibility to enter products, description, prices, all accessories, products, designs, banners, etc.

·       The customer pays the renewal amount for each year with the same incorporation amount or according to price update by FatherStock.

·        FatherStock has the right to put the implementation rights at the bottom of the site as it is the full service provider.

. The customer is not entitled to transfer the ownership of the site to another person or assign it directly or indirectly .
